DELEGATE TERMS & CONDITIONS
1. Application of the Terms and Conditions:
Please read these terms and conditions (these “T&Cs” or “Agreement”) carefully as they govern the relationship between Go Far Together Limited d/b/a Black Women in Asset Management, a company limited by shares registered under company number 14337117, with registered office at 71-75 Shelton Street, London, WC2H 9JQ (“BWAM” or “we”), and the person, firm, company or other entity specified on your booking or registration form (“you” or “your”) for attendee / delegate registrations for the events specified on your booking form (“Event”). By registering to attend the Event (“your registration”), you are agreeing to be legally bound by these T&Cs. If you do not accept these T&Cs, do not register for the Event. These T&Cs are not subject to negotiation or one-off amendment.
2. Registration Confirmation
a. Your registration (whether submitted directly by you or on your behalf) is an offer to BWAM to attend an Event which is subject to BWAM's acceptance in writing (which may include (without limitation) email. A binding contract between BWAM and you will only be formed when written confirmation of acceptance (“Confirmation” or “Confirmed”) is sent by BWAM to you (whether or not it is received) using the contact details you provided at the time of registration.
b. You should contact BWAM if you have not received Confirmation within 5 days of your registration, but in any event if Confirmation is not sent within 14 days of BWAM receiving your registration, your registration will be deemed to be accepted unless BWAM notifies you otherwise. BWAM reserves the right in its sole discretion to refuse to accept your registration.
3. Event Fee and Payment Terms:
a. You will pay BWAM the fees (if any) specified in your booking form for the Event (“your fees”). Payment in full must be made to BWAM in accordance with the BWAM’s payment terms from time to time but in any event no later than 24 hours before the Event. Payments can be made by credit card or by wire transfer. If payment of your fees in full is not received before the Event, BWAM may (at its sole discretion) either require such payment as a condition of your access to the Event or refuse or block your access to the Event (whether physical or virtual). No refunds of any proportion of your fees already paid (if any) will be made and any balance of your fees will remain due and payable where access to an Event is refused under this Condition 2.a.
b. Prices for each Event are correct at the time of publication. BWAM reserves the right to change the prices at any time but changes will not affect registrations which have already been confirmed by BWAM.
c. All discounts can only be applied at the time of registration and discounts cannot be combined. All discounts are subject to BWAM's approval.
d. Where applicable your fees will be subject to local sales, VAT, service or withholding taxes (“Taxes”).
e. The Event fee entitles you to attend all non-restricted Event sessions. Note that some certain sessions and receptions may be invite-only or restricted to a particular type of delegate.
4. Delegate Cancellation and Non-Attendance:
a. Except as may be otherwise expressly advised as part of the particular Event’s registration process, you may cancel your registration in accordance with this Condition 4.
b. All cancellations must be made in writing (by letter or email – proof of receipt will be required) to events@bwam.network. Except as otherwise expressly stated on your booking form, you will receive a refund of your fees paid to BWAM (if any) if you cancel your registration 30 days or more before the Event, subject to an administration charge equivalent to 10% of the total amount of your fees plus Taxes (if applicable).
c. BWAM regrets that the full amount of your fee remains payable in the event that your cancellation is 30 days or less before the Event or if you fail to attend the Event. If a cancellation changes the entitlement to a multi-registration discount, the lowest value registration will be cancelled first. No cancellations are accepted once any part of a single or multi registration party has accessed the pre-Event networking or partnering facilities, applications or platforms.
d. You acknowledge that the refund of your fees in accordance with Condition 4 is your sole remedy in respect of any cancellation of your registration by you and all other liability is expressly excluded.
e. Please also note that you can substitute another person instead of cancelling (see below); provided, if you do not advise BWAM that you are cancelling your delegate place(s) or that you are substituting another person or people in your place(s) then you remain liable for your fees. Non-attendance at the Event does not waive your liability to pay your fees and BWAM reserves the right to use all necessary means to receive payment from you, including the issuance of legal proceedings. f. Substitutions may be arranged as long as BWAM is notified in writing in advance of the Event. Under no circumstances can a delegate registration be shared. You may not purchase registrations as agent for any third party, sell or otherwise transfer your registration to others, or exploit the registration commercially or non-commercially in any way.
5. Travel and Accommodation:
a. BWAM is not accountable for booking any transportation or accommodation required by you nor for any transfers to and from the event venue. Although BWAM may work with a hotel to secure a preferential delegate rate for those attending the Event, BWAM makes no assurances as to the availability of this rate nor of the hotel services offered. BWAM will not accept liability for any public or individual transport disruption or deferral. In such circumstances, BWAM’s standard cancellation policy applies.
6. Changes to or Cancellation of the Event by BWAM
a. Please be aware that all speakers are confirmed at the time of the published agenda, however, circumstances may necessitate substitutions, alterations or cancellations of the speakers and/or topics. BWAM may (at its sole discretion) change the format (including, without limitation, from a physical in-person Event to a virtual Event and vice versa), speakers, participants, content, venue location and programme or any other aspect of the Event at any time and for any reason, whether or not due to a Force Majeure Event, in each case without liability.
b. BWAM may (at its sole discretion) change the date or cancel an Event at any time for any reason. Where BWAM changes the date or cancels the Event for any reason except due to a Force Majeure Event (in which case the terms of Condition 6.c shall apply) BWAM shall automatically transfer your registration to any rearranged Event that BWAM chooses to organise (acting in its sole discretion). If you promptly, and not more than 21 days after being notified by BWAM of the new date(s) of the Event, notify BWAM in writing that you do not wish to attend the rearranged Event or if BWAM elects not to rearrange the Event then you will (as your sole remedy) be entitled, at your discretion, to receive either a credit note or a refund in respect of your fees received by BWAM. After expiry of the 21-day notification period set out above you may still cancel your registration for the rearranged Event; Condition 4 above shall apply with reference to the new dates and an administrative charge may be payable.
c. Where a Force Majeure Event has or may have (in BWAM's sole discretion) an adverse impact on: (i) the ability of BWAM to hold the Event at the planned venue or on the planned date; or (ii) the Event generally, then BWAM shall be entitled but not obliged (in its sole discretion) to either: (i) provide an alternative format, facility or venue for the Event; and/or (ii) reschedule the Event. Any of your fees received by BWAM shall be applied to any rearranged or rescheduled Event held pursuant to this Condition 5.c and you shall not be entitled to object to such rearranged or rescheduled Event or have any right to claim any compensation in respect thereof. If BWAM is unable or elects not to rearrange or reschedule the Event pursuant to this Condition 6.c, then you will (as your sole remedy) be entitled, in your sole discretion, to receive either a refund or credit note in respect of your fees received by BWAM.
d. These terms and conditions shall equally apply in respect of any rearranged or rescheduled Event organised by BWAM pursuant to Conditions 6.b and 6.c.
e. For the purpose of these terms and conditions “Force Majeure Event” means any event or circumstance arising that is beyond the reasonable control of BWAM, including but not limited to governmental laws, ordinances, regulations, requisitions, restrictions, guidelines, recommendations or action, imposition of sanctions, embargo, military action, acts or threats of terrorism or war, mob, civil commotion or riot, health scares (including without limitation, epidemic and pandemic (e.g., COVID-19), whether or not new, ongoing or recurring), fire, acts of God, flood, drought, earthquake, severe weather, disaster, natural disaster, disruption to transportation, third party contractor/supplier failure, venue damage or cancellation, industrial dispute, strikes, labour disputes, interruption/failure of utility service, lack of commodities or supplies, failure of computer equipment and failure or delay of sources from which data is obtained, accidents, nuclear, chemical or biological contamination, speaker or participant cancellation or withdrawal, or any other comparable calamity or casualty.
f. To the fullest extent permitted by the applicable law, BWAM shall not be liable to you for any loss, delay, damage or other liability incurred resulting from or arising in connection with the cancellation or date change of the Event howsoever arising or any venue change. You acknowledge and agree that the provisions of Conditions 6.a, 6.b and 6.c set out your sole remedy should the Event be changed, postponed or cancelled and all other liability of BWAM is expressly excluded.
7. Access to and Use of an online Event Platform
a. This clause 7 shall only apply where the whole or any part of the Event is provided in a virtual format.
b. You undertake to be responsible for any technical requirements needed to enable you to access the Event website, app or other platform made available by BWAM to facilitate participation in the Event (the “Event Platform”).
c. We do not guarantee that the Event Platform will operate continuously, securely or without errors or interruption, and we do not accept any liability for its temporary unavailability. We do not guarantee that the Event Platform and/or any content thereon (including, without limitation, any content available for download) will be free from viruses, infections, Trojan horses, worms and/or any other code that has contaminating or destructive properties. You are solely responsible for any damage to your computer system or loss of data that results use of the Event Platform.
d. You must not attempt to interfere with the proper working of the Event Platform (for example, by attempting to circumvent security or tamper with, hack into or otherwise disrupt any computer system, server, website, router or any other internet connected device).
e. You agree to comply with any website terms of use and/or fair or acceptable use policies indicated on any website on which the Event Platform is hosted.
f. We do not endorse or accept any responsibility for the content, or the use of, any goods or services that may be identified or described on the Event Platform and we shall not be liable for any loss or damage caused or alleged to be caused by or in connection with use of, or reliance on, any content, goods or services available on or through the Event Platform or any website or other resource referenced therein. Any material and/or data downloaded or otherwise obtained through use of the Site or attendance at the Event is done at your sole risk.
g. BWAM may issue you with a username and password. Usernames and passwords are confidential and remain the property of BWAM at all times and may not be sold, assigned or transferred to any third party without our permission. Your username and password are personal to you. You hereby agree that you will not permit others to use your username or password and you will be and remain liable for the acts of any person using your username and password.
h. Any posts, messages or other materials, information or data you supply or upload to the Event Platform (collectively, “Materials”) will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such Materials for any purpose. You hereby waive any moral rights in any Materials to the extent permitted by applicable law. We reserve the right, at our sole discretion, to edit or remove postings to any message boards on the Event Platform and delete or use electronic methods to block or filter any Materials at our discretion, but we do not have any obligation to do so.
i. You shall not make libellous postings or any postings which are illegal or infringe the intellectual property rights of any third party. BWAM will not be responsible for monitoring Materials for compliance with law.
j. You may use the Event Platform solely for access to the Event. Without limitation, you must not:(i) download, store, reproduce, transmit, display, copy, distribute, exploit or use the Event Platform and/or any content thereon for your own commercial gain, (ii) use the Event Platform and/or any content thereon in any manner other than in compliance with law and these terms and conditions, (iii) infringe our intellectual property rights or those of any third party in relation to your use of the Event Platform and/or any content thereon, (iv) transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation, and/or (v) knowingly transmit, send or upload any data that contains viruses, infections, Trojan horses, worms and/or any other code that has contaminating or destructive properties viruses.
k. BWAM is under no obligation to oversee, monitor or moderate any interactive service we provide on the Event Platform and, without limitation, we expressly exclude all liability for any loss, injury or damage whatsoever arising from the use of any interactive service by any user, whether the service is moderated or not.
8. Data Policy
BWAM collects personal data about you when you are registered for an Event, attend an Event or otherwise communicate with BWAM in connection with an Event. Your personal data is processed in accordance with the BWAM Privacy Policy, which you hereby confirm you have read and understood. A link to the privacy policy is located in the footer of the BWAM website.
9. Termination and Amendment of These T&Cs
a. These T&Cs are effective until terminated or modified by BWAM.
b. BWAM may terminate these T&Cs with respect to you or any other person without notice at any time for any reason. In addition, if BWAM determines, in its sole discretion, that you have breached any of these T&Cs or in the opinion of BWAM represents a security risk, nuisance or annoyance to the running of the Event, BWAM reserves the right to terminate access to the Event and take any other action that BWAM, in BWAM’s sole discretion, deems to be appropriate.
c. All terms that by their nature should survive termination of these T&Cs will survive.
d. BWAM may make reasonable updates and changes to these T&Cs from time to time, which will be notified to you. If you do not agree to any changes to these T&Cs, you should contact BWAM via email: info@bwam.network. You will be deemed to have accepted any amendment if no objection has been raised within 7 days of notification of an amendment to these T&Cs.
10. Consent to Official Photography and / or Recording at Events
All unauthorised photography and / or the recording or transmitting of audio or visual material, data or information is expressly prohibited. You consent to BWAM undertaking multimedia recording of the Event which may include your participation in the Event as a delegate (the “Content”) and you consent to the use by BWAM of any such recording anywhere in the world for promotional, marketing and other purposes. You acknowledge and agree that BWAM is the exclusive owner of all rights in the Content and hereby waive any and all: (a) rights in and to such Content, and (b) claims that you may have relating to or arising from the Content or its use.
11. Social Media Usage and Tagging Consent
By completing your registration for the Event, you acknowledge and agree that BWAM may use the social media handles you provide during registration to tag you in event-related posts, including but not limited to promotional content, speaker highlights, networking opportunities, and post-event recaps. You grant BWAM a non-exclusive, royalty-free, worldwide license to use your provided social media handles for these purposes. If you wish to opt out of being tagged in such posts, you must notify BWAM in writing at events@bwam.network prior to the event.
12. Ownership and Intellectual Property Rights
a. The legal and beneficial interest in all copyrights, patents, trademarks, service marks, design rights (whether registered or unregistered), database rights, proprietary information rights and all other proprietary rights as may exist anywhere in the world together with applications associated with any such rights (collectively “Intellectual Property Rights” or “IPR”) relating to the Event belong to BWAM or BWAM’s licensors, as the case may be, at all times.
b. Except as expressly permitted, none of the content displayed on the Event Platform or at the Event, including, but not limited to, text, data, reports, opinions, images, photos, graphics, graphs, charts, animations, templates, advice and video (the “Content”) may be copied, reproduced, framed, hyperlinked, republished, downloaded, uploaded, posted, disseminated, sold, transmitted, licensed or otherwise distributed in whole or in part, directly or indirectly, bundled or unbundled either: (i) for purposes of reselling the Content or otherwise charging others to use the Content; or (ii) to any third-party.
c. You obtain no rights or interests, including any Intellectual Property Rights, in any Content, pursuant to or arising out of this Agreement or otherwise. You acknowledge that you have no claim to ownership of any Content or Intellectual Property Right simply because of your use of or access thereto.
d. To request permission to use any Content or other BWAM material, please contact info@bwam.network.
13. Access to Event
You hereby acknowledge and agree that in connection with the Event:
a. The Event is provided by BWAM on an “as is” basis, and your access to and/or use of the Event is at your sole risk.
b. The information and materials presented at the Event do not constitute any form of advice, recommendation, representation, endorsement or arrangement by BWAM or any of its employees and is not intended to be relied upon by you in making (or refraining from making) any specific investment or other decisions. You should obtain appropriate independent advice before making any such decision.
c. You are solely responsible for the selection, suitability and attendance at the Event and acknowledge that except as stated above BWAM does not provide any additional warranties or guarantees relating to the Site or Event.
d. By registering for the Event, you agree that the Event content is only for your general information and use and is not intended to address your particular requirements.
e. Any agreements, transactions or other arrangements made between you and any third party named on the Event Platform or at the Event are at your sole discretion and responsibility.
f. You agree to use the Event only for lawful purposes, and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Event by any third party. Such restriction or inhibition includes, without limitation, conduct which is unlawful, or which may harass or cause distress or inconvenience to any person and the transmission of obscene or offensive content or disruption of normal flow of dialogue at the Event.
g. You shall not access and/or use the Event Platform in any manner that could damage, disable, overburden, impair or otherwise interfere with or disrupt the Event Platform or any networks or security systems of BWAM.
h. No rights are granted hereunder except as expressly set forth in these T&Cs.
14. Compliance with Laws.
You agree to comply with all applicable laws, statutes, ordinances and regulations regarding your attendance at the Event.
15. Disclaimer of Warranties.
Subject to applicable law BWAM expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, those of merchantability, satisfactory quality, title, fitness for a particular purpose, and non-infringement. Without limitation of the foregoing, BWAM makes no warranty: (a) that the Event will meet your requirements; (b) that the Event will be uninterrupted, timely, complete or error-free; (c) as to the results that may be obtained from attendance at the Event; (d) as to the accuracy of any other information obtained through the Event (or Event Platform) or (e) that any defects will be corrected.
16. Indemnity
You agree to indemnify, defend, release and hold BWAM, its officers, directors, suppliers, service providers, co-branders or other partners, agents and employees, and its affiliates, harmless from all damages, liability, fees, costs, loss of business profits, taxes, penalties or sanctions, and interest of any nature, including reasonable fees of attorneys and other professionals BWAM may incur due to or arising out of or relating to any claims, demands, actions or proceedings, whether or not brought to suit, alleged or initiated against BWAM by any third party in any way arising out of or related to anything you submit, transmit through any violation by you of these T&Cs, your provision of information to BWAM that is untrue, inaccurate, fraudulent, or out of date, any communications by you, your violation of anyone’s proprietary or confidential information, IPR, or any allegation that you are in violation of any right, license, law, statute, regulation, rule, order or ordinance.
17. Limitation of Liability
To the fullest extent permitted by the applicable law, BWAM excludes: (a) all liability for loss, injury, disease or damage to persons or property at the Event; (b) all indemnities, warranties, representations (whether express or implied); and (c) any actual or alleged indirect loss or consequential loss, any loss of profits, anticipated profits, savings, loss of business revenue, loss of business, loss of opportunity, loss of goodwill, or any other type of economic loss, suffered by you howsoever arising. If BWAM is liable to you for any reason, Informa's total liability to you in relation to the Event (whether under these terms or conditions or otherwise) is limited to the amount of your fees received by BWAM.
18. Governing Law and Jurisdiction
These terms and conditions and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by English law and you submit to the exclusive jurisdiction of the English courts. Nothing in this Condition 17 shall prevent or restrict us from pursuing any action against you in any court of competent jurisdiction.
